Meaning
Governance limits define the specific point at which a manager loses the power to act alone. A decision boundary marks the edge of individual autonomy within an organization. It separates the choices a person can make independently from those requiring approval from a board or a superior.
This mechanism prevents a single person from taking risks that could jeopardize the entire firm.
Authority Scope
Limits are often defined by financial values or the length of a contract. A manager might have the power to spend ten thousand dollars without asking but anything above that sum requires a signature from the next level. This division keeps the founder from being pulled into every minor transaction.
Operational Friction
Resistance occurs when the defined limits do not match the speed of the market. If the boundary is too low, the person in the seat spends too much time seeking permission for routine tasks. This produces a high cost in capacity and slows down the growth of the business.
When the boundary is too high, the risk to the owners increases because mistakes go unnoticed until they are large.
Escalation Protocol
Procedures for moving a choice across the line must be clear to avoid confusion. The founder must learn to respect these lines even when they are the majority owner. Stepping over a boundary without following the rules undermines the managers and creates a culture of uncertainty.
This requirement costs the founder their personal time and energy.
