Meaning
Schedules for the distribution of equity ownership ensure that a participant earns their full stake only through continued service over a multi year period. This share vesting mechanism aligns the incentives of the founder with the long term health of the company. It prevents a person from leaving with a large portion of the equity shortly after the firm is established.
Temporal Accrual
Equity typically unlocks in monthly or quarterly increments after an initial one year waiting period. This structure forces the founder to commit to the seat for at least four years to see the full value of their grant. The cost of an early exit is the forfeiture of any unvested shares, which stay with the company for future use.
Retention Mechanism
Because the value of the shares often grows over time, the vesting schedule acts as a powerful reason to stay during difficult periods. The anticipation of the next tranche of shares keeps the leadership focused on hitting milestones. If the company is sold before the schedule ends, some agreements allow for accelerated vesting to reward the founder for the successful exit.
This ensures that the person who created the value is not penalized by a change in ownership.
Allocation Logic
Managing the cap table requires a clear understanding of who has earned their place. Vesting protects the firm from dead equity, which is stock held by people who are no longer contributing to the business. It keeps the ownership concentrated among those who are still doing the work.
