Meaning
Equity-based compensation offered to individuals who provide guidance or mentorship without holding a formal executive or employee position. An arrangement of this kind grants the recipient a fractional stake in the firm to incentivize long term support without the requirements of a full time role. It establishes a link between the success of the venture and the efforts of the external advisor.
Granting Mechanism
These grants typically involve options or restricted stock that vest over a period of one to two years. Common allocations for advisory shares range from 0.1 percent to 0.25 percent of the total equity pool per individual. The recipient provides industry expertise or network access in exchange for a fractional ownership stake.
Post Founding Utility
Founders who have moved into board seats often use these instruments to attract technical specialists or market veterans to the new management team. Using advisory shares allows a former chief executive to maintain influence over the direction of the firm by installing trusted mentors near the current leadership. This creates a buffer.
The cost to the firm is the dilution of existing shareholders, while the cost to the founder is the reduction of their personal voting power.
Vesting Period
Standard agreements include a cliff period of several months followed by monthly or quarterly increments. If the relationship ends before the vesting period concludes, the unvested portion returns to the company pool. This structure ensures that the external advisor remains incentivized to support the firm throughout the transition phase.
